Terms and conditions

Paragraph 1

Purview

1. These General Terms and Conditions apply to all contracts signed by Bic-International Bemiddeling, henceforth referred to as Bic-int., located in Emmen. Reference to other General Terms and Conditions are explicitly rejected if no written confirmation to the contrary is entered into. These General Terms and Conditions therefore always prevail.

2. Clauses and contracts, which deviate from these General Terms and Conditions, are only applicable if they are accepted in writing by Bic-int.

Paragraph 2

Definitions

These General Terms and Conditions refer to:
a. Bic-int.: Placement agent between employer and applicant, located in Emmen, henceforth referred to as Bic-int.;
b. Employer: The company to which a candidate is presented by Bic-int. Further, the term employer refers to the company, with which the party who first nominated a candidate, is connected under corporate law or in a business sense.
c. Employment contract: That what is captured under the Civil Code, as well as all work which the candidate executes as a freelancer or in a self-employed fashion, to the advantage of the employer, and which in its nature is similar or comparable to those for which the candidate was presented to the employer.

Paragraph 3

Presentation of Applicant and Contract

1. Bic-int. presents employers (companies) with candidates, without disclosing NAW data in the process. By accepting the ´placement nomination´ (by Mail or Fax), the employer declares and confirms that a meeting with the respective candidate and possibly further candidates takes place under observation of any and all conditions and constraints from these General Terms and Conditions. The receipt of the acceptance at Bic-int. constitutes a contract between the employer and Bic-int.

2. Bic-int. is authorized to invoice a one-time placement commission if the employer, in agreement with Paragraph 8 of these General Terms and Conditions signs an employment contract with one of the candidates presented by Bic-int.. A placement commission is also due if an employment contract is extended. The amount of this commission is stated in the confirmation of placement. If an employer does not intend to continue the employment contract or the renewal of the employment contract after its expiration, then the employer shall inform Bic-int. in writing at least one month in advance before the expiration of the employment contract or its extension. If no such notice is given, then the placement commission resulting from the contract renewal is payable in any case.

Paragraph 4

Information Transfer and Diligence

1. The employer is obliged to provide to Bic-int. in a timely fashion all (detailed) information, which must justifiably be transferred in the context of the placement.

2. The employer is obligated to treat the candidate nominated by Bic-int. correctly and with respect; this also applies to transferred information. Employer, employee and Bic-int. shall continuously maintain contact, particularly during the early stages, to make sure that the employee carries out his work to the satisfaction of the employer.

3. Both parties are under obligation to treat all confidential information which they have acquired, as part of this contract, from each other or from other sources as confidential.

Paragraph 5

Liability

1. Before or during the selection, Bic-int. will proceed with great care; however, this does not release the employer from his own diligence duties. Therefore, Bic-int. does not accept any liability if the candidate does not satisfy the expectations or if the employer signs a labour contract with the candidate due to false or incomplete information.

2. Under no circumstances does Bic-int. accept liability for damages or losses suffered by the employer or by third parties due to negligence or erroneous actions of a candidate during the selection phase or after signing a work contract with the respective candidate.

3. The employer indemnifies Bic-int. against any and all liability claims of third parties, which are directly, indirectly or in other ways connected, or may be connected, with the placement through Bic-int.

Paragraph 6

General Conditions

1. Should the employer reject a candidate presented by Bic-int., or should the candidate reject an offer of the employer, and should a labour contract between the candidate and the employer still be signed within 24 months following the job interview with the candidate, then the employer in question is obligated to pay in full the placement commission, composed of the entry commission, two renewal commissions and a closing commission; this results from Paragraph 8 of these General Terms and Conditions.

2. The employer is banned to communicate data of candidates to third parties in whatever form, or to introduce candidates to third parties. If and when the employer violates this ban, then the employer is obligated to pay in full the placement commission, composed of the entry commission, two renewal commissions and a closing commission; this results from Paragraph 8 of these General Terms and Conditions.

Paragraph 7

Invoices

1. On the day of receiving the employment contract with the candidate, the employer will be sent an invoice. Bic-int. invoices are due for payment within 14 days from date of invoice, if the invoiced amount is for a one-time placement commission. The same applies for renewals and for the closing commission when the employee becomes a permanent employee. These are also payable within 14 days of date of invoice. If the employer defaults on the payments although payment was demanded under threat of out-of-court collection expenses, any (partial) payments - irrespective of their actual declaration - are used to cover first the accumulated interest and the out-of-court collection expenses, and only then the invoiced amount due. The out-of-court collection expenses come to at least 15% of the outstanding balance, however at least 150.00 Euro.

2. The employer is in default if he fails to pay the invoice amount or does not pay it in time. In this case, Bic-int. is authorized to increase the outstanding balance by interests in the amount of 1.5% per month, effective on the due date of the unpaid invoice. No reminder notices are required.

Paragraph 8

Placement Commission

1. The employer shall pay a placement commission, if and when a labour contract is signed between the candidate and the employer.

2. The amount of the placement commission (plus applicable sales tax) is a one-time, fixed amount. This applies also to the entry commission, the renewal commission, as well as the closing commission. The amount of these commissions is confirmed by Bic-int. in writing to the employer. The employer will make available to the Bic-int. administration a copy of the labour agreement between the employer and the employee.

3. Complaints relating to the declared placement commission shall be filed with Bic-int. in writing within 8 days of date of invoice. Complaints not filed within this period expire.

Paragraph 9

Closing

1. Bic-int. will make every effort to support employer and employee optimally, of course reflecting the aforementioned.

2. Notwithstanding questions which are to be presented to a circuit judge, the civil magistrate in Assen, to the exclusion of any other judge, arbitrator or binding counsellor, is in charge to rule on disputes which may result from contracts, orders and justified placement commissions between Bic-int. and the employer and / or the employee.

3. Under these General Terms and Conditions, all contracts signed, offers or activities of Bic-int. are subject to Dutch law, irrespective of the employer and / or the candidate living in or residing outside of the Netherlands.

4. Bic-int. reserves the right to change these General Terms and Conditions. Changes are only enforceable when the employer was informed by Bic-int. about these changes.

 

Our services in their full extend are subjected to our General Terms and Conditions. These are placed on record with the court registry of the Assen court under document number: 11.12.
